These Terms of Service ("Terms") are a legally binding agreement between you and TidyStay, LLC ("TidyStay," "we," "us," or "our"). They govern your access to and use of the TidyStay platform, including our website, applications, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
TidyStay is a technology platform that provides two primary functions:
(a) Cleaning Coordination Tool. TidyStay helps short-term rental hosts coordinate property turnovers by syncing booking data via iCal feeds and property management system (PMS) integrations, automatically generating turnover events, sending automated SMS and email notifications to cleaners, and providing scheduling, calendar, and risk visibility tools.
(b) Cleaner Marketplace. TidyStay operates an online marketplace that connects hosts with independent professional cleaners. Through the marketplace, cleaners can create profiles, submit quotes for cleaning jobs, and receive payments. Hosts can discover, evaluate, hire, and pay cleaners directly through the platform.
TidyStay is a platform, not a cleaning company. We do not provide cleaning services, employ cleaners, or manage properties. Cleaners who use the marketplace are independent service providers, not employees, agents, or contractors of TidyStay. You remain solely responsible for managing your properties, selecting cleaners, verifying the quality of work performed, and ensuring compliance with all applicable laws.
2. User Accounts
2.1 Account Types
The Service supports the following account types:
Host Accounts are for property owners and managers who use TidyStay to coordinate cleaning for their short-term rental properties.
Marketplace Cleaner Accounts are for independent professional cleaners who offer their services through the TidyStay marketplace.
2.2 Account Responsibilities
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access to or use of your account. Hosts must have the legal authority to manage the properties they connect to the Service.
2.3 Account Eligibility
You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3. The Marketplace
Note: The Marketplace features described in Sections 3 through 6 are not yet available. These terms will apply when marketplace functionality is launched. We will notify users when marketplace features become available.
3.1 Marketplace Relationship
TidyStay provides the technology platform that enables hosts and cleaners to connect. When a host hires a cleaner through the marketplace, the resulting service agreement is solely between the host and the cleaner. TidyStay is not a party to that agreement and is not responsible for the performance, quality, safety, or legality of services provided by cleaners.
3.2 Quotes and Hiring
Cleaners may submit quotes for available properties. Hosts may accept, decline, or negotiate quotes at their sole discretion. Acceptance of a quote creates a service agreement between the host and the cleaner, not with TidyStay. TidyStay does not guarantee that cleaners will receive quotes, that hosts will accept quotes, or that any particular volume of work will be available.
3.3 Cleaner Representations
By creating a marketplace cleaner account, you represent and warrant that you have the legal right to provide cleaning services in your service area, you are operating as an independent contractor or business and are solely responsible for your own tax obligations, insurance, licenses, and compliance with all applicable laws, all information in your profile is accurate and not misleading, and you will perform accepted jobs professionally and in accordance with any agreed-upon terms.
3.4 Host Responsibilities in the Marketplace
Hosts are responsible for providing accurate property information (including size, condition, and access instructions), for ensuring safe working conditions for cleaners, and for raising any concerns about completed work promptly through the dispute resolution process described in Section 5.
3.5 No Employment Relationship
Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between TidyStay and any user, or between a host and a cleaner. Cleaners are independent service providers. TidyStay does not control the manner, method, or means by which cleaners perform their services.
4. Payments and Fees
4.1 Subscription Fees (Host Coordination Tool)
TidyStay offers a freemium model for the coordination tool. Paid subscription tiers may be offered with additional features or increased property limits. Subscription fees will be clearly disclosed before purchase. Subscriptions renew automatically unless canceled before the renewal date. We may change subscription pricing with at least 30 days' notice. Price changes will not affect your current billing cycle.
4.2 Marketplace Payments
All payments for marketplace jobs are processed through the TidyStay platform via our payment processor, Stripe. Hosts agree to pay the quoted amount for accepted and completed jobs. Payment is collected from the host when a job is marked as completed by the cleaner.
4.3 Platform Fee
TidyStay charges a platform fee on each marketplace transaction. The platform fee is a percentage of the job price and is deducted from the cleaner's payout. The current platform fee percentage will be clearly displayed to cleaners before they submit a quote and to hosts before they accept a quote. TidyStay reserves the right to change the platform fee with at least 30 days' notice to affected users.
4.4 Hold Period and Payouts
Completed marketplace jobs are subject to a 48-hour hold period during which the host may approve the work or raise a dispute. If no dispute is raised within the hold period, the payment is released to the cleaner's pending balance. Payouts to cleaners are processed weekly (each Monday for the prior week's released payments) via Stripe Connect. Payout timing depends on your bank and may take additional business days to appear in your account. TidyStay is not responsible for delays caused by your financial institution or payment processor.
4.5 Stripe Connect
Marketplace cleaners must complete Stripe Connect onboarding to receive payments. By using the marketplace, you agree to Stripe's Connected Account Agreement, which includes Stripe's terms of service. TidyStay is not responsible for Stripe's services, and any issues with payment processing are subject to Stripe's terms and dispute processes.
4.6 Taxes
Each user is solely responsible for determining and fulfilling their own tax obligations. TidyStay does not withhold taxes on behalf of cleaners. TidyStay may issue tax reporting forms (e.g., IRS Form 1099-K) as required by law.
5. Disputes Between Hosts and Cleaners
5.1 Dispute Process
If a host is dissatisfied with a completed job, they may flag a dispute during the 48-hour hold period by providing a description of the issue and optional supporting photos. When a dispute is flagged, the payment is placed in a "disputed" status and will not be released until the dispute is resolved.
5.2 Resolution
TidyStay will review disputes and may, at its sole discretion, release the full payment to the cleaner, issue a partial refund to the host, or issue a full refund to the host. TidyStay's dispute resolution is provided as a convenience and is not an arbitration or legal proceeding. TidyStay's decisions on disputes are final and binding between the parties with respect to the payment held by TidyStay, but do not prevent either party from pursuing independent legal remedies.
5.3 Evidence
Both parties are encouraged to provide evidence in support of their position, including photographs, message history, and job details. Cleaners may be required to upload before-and-after photos as a condition of marking a job as complete.
6. Reviews and Ratings
Hosts may leave reviews and ratings for cleaners after a marketplace job is completed. Reviews must be honest, accurate, and based on the reviewer's genuine experience. Reviews that are fraudulent, retaliatory, or that violate these Terms may be removed at TidyStay's discretion. TidyStay is not responsible for the content of user reviews. Reviews may not be edited after seven (7) days.
7. SMS Notifications and Communications
7.1 Platform Communications
TidyStay sends SMS and email communications as part of the Service, including turnover notifications, job alerts, magic link authentication, and system updates.
7.2 Host Obligations
If you are a host using the coordination tool with your own cleaners (non-marketplace), you represent and warrant that you have obtained proper consent from each cleaner to receive automated SMS messages through TidyStay, you have informed cleaners that automated messages may be sent on your behalf, and you comply with all applicable telecommunications and messaging laws. You are solely responsible for compliance with SMS regulations for messages sent to your own cleaners.
7.3 Marketplace Communications
By creating a marketplace cleaner account, you consent to receiving SMS and email communications from TidyStay related to job notifications, account updates, and platform communications. You may opt out of non-essential communications at any time through your account settings.
7.4 In-Platform Messaging
Messages sent through TidyStay's messaging system are stored on our servers and may be reviewed by TidyStay in connection with dispute resolution or enforcement of these Terms. You agree not to use the messaging system to send spam, harassing content, or content that violates these Terms or applicable law.
8. Third-Party Integrations
TidyStay integrates with third-party platforms including, but not limited to, Airbnb, Vrbo, Booking.com (via iCal feeds), property management systems, Stripe (payment processing), and Twilio (SMS delivery). TidyStay is not affiliated with these platforms and does not control their systems. We do not guarantee the accuracy, availability, or timing of data from third-party integrations. You are responsible for confirming the accuracy of booking data and turnover requirements. Your use of third-party services is subject to those services' own terms and policies.
9. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any applicable law. Attempt to reverse engineer, decompile, or disassemble any part of the Service. Interfere with or disrupt the Service or its infrastructure. Use the Service to harass, abuse, or harm others. Use automated tools (bots, scrapers) to access the Service without our written permission. Upload false, misleading, or fraudulent information. Create multiple accounts to circumvent platform rules, suspensions, or fee obligations. Attempt to transact with marketplace users outside the platform to avoid platform fees. Share or solicit personal contact information through the messaging system for the purpose of circumventing the marketplace payment system.
We reserve the right to investigate and take appropriate action, including suspending or terminating accounts, for violations of this section.
10. Intellectual Property
10.1 TidyStay's IP
The Service, including all software, content, design, trademarks, and documentation, is owned by TidyStay or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our written permission.
10.2 User Content
You retain ownership of content you submit to the Service (including profile information, photos, reviews, and messages). By submitting content, you grant TidyStay a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content solely as necessary to operate, improve, and promote the Service. For cleaner profiles and reviews, this license includes the right to display such content publicly on the platform.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the practices described in our Privacy Policy.
12. Disclaimers
12.1 Service Provided "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by law, TidyStay disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
12.2 No Guarantees
TidyStay does not guarantee real-time booking updates or 100% accurate calendar synchronization, SMS or email delivery, that cleaners will respond to or complete assigned jobs, the quality, safety, legality, or suitability of cleaners on the marketplace, the accuracy of cleaner profiles, reviews, or ratings, uninterrupted or error-free operation of the Service, or the availability of cleaners or jobs in any particular area.
12.3 Cleaner Vetting
TidyStay may offer optional verification features (e.g., identity verification through Stripe, background checks) but does not independently vet, screen, or endorse any cleaner. Verification indicators are provided for informational purposes only and do not constitute a guarantee of a cleaner's reliability, skill, or trustworthiness. Hosts are responsible for conducting their own due diligence when selecting cleaners.
13. Limitation of Liability
To the maximum extent permitted by law, TidyStay and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income or revenue, property damage, missed turnovers, guest complaints, regulatory fines, loss of data, loss of business opportunities, or any damages arising from the acts or omissions of cleaners or hosts, regardless of the theory of liability.
TidyStay's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) one hundred dollars ($100) or (b) the total fees you paid to TidyStay in the twelve (12) months preceding the claim.
This limitation applies regardless of whether the damages are based on contract, tort, strict liability, or any other legal theory, and even if TidyStay has been advised of the possibility of such damages.
14. Indemnification
You agree to indemnify, defend, and hold harmless TidyStay and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any applicable law, your content or information submitted to the Service, any dispute between you and another user (including disputes between hosts and cleaners), your failure to obtain proper SMS consent from your cleaners, or any claim by a third party related to services you provided or received through the marketplace.
15. Cancellations
15.1 Job Cancellations
Cancellation policies for marketplace jobs will be displayed at the time of booking. If a cleaner cancels an accepted job, the host will be notified and may select an alternative cleaner. Repeated cancellations may result in account restrictions or suspension. TidyStay is not responsible for any losses resulting from a cleaner's cancellation of a job.
15.2 Account Cancellation
You may cancel your account at any time through your account settings or by contacting us. If you have pending payments (as a host) or pending payouts (as a cleaner), those will be processed according to the normal payment schedule before account closure. Cancellation of your account does not relieve you of any obligations incurred before cancellation.
16. Suspension and Termination
TidyStay may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, repeated disputes or cancellations, failure to complete Stripe Connect onboarding within a reasonable time, or inactivity. Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will survive.
17. Dispute Resolution and Arbitration
17.1 Informal Resolution
Before initiating any formal proceeding, you agree to first contact us at support@tidystay.co and attempt to resolve the dispute informally for at least thirty (30) days.
17.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware or, at your election, by telephone or video conference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
17.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.
17.4 Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Claims within the jurisdiction of small claims court may be brought in small claims court instead of arbitration.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service.
20. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TidyStay regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. TidyStay may assign these Terms without restriction.
Force Majeure. TidyStay shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.
